1. Acceptance of Terms

By accessing or using VentureAI ("the Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Platform. These Terms apply to all users including subscribers, visitors, and others who access or use the Platform.

2. Description of Services

VentureAI is an AI-powered venture intelligence platform operated by SK Consulting USA LLC. The Platform provides tools for startup analysis, strategy generation, due diligence summaries, investor matching, portfolio management, and pitch deck guidance. All outputs are generated by artificial intelligence and are intended for informational and research purposes only.

3. Subscription & Payment

Access to the Platform's full features requires a paid monthly subscription of $150/month. Subscriptions are billed monthly and renew automatically unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. All payments are processed securely through Base44 Payments. SK Consulting USA LLC reserves the right to modify pricing with 30 days' notice.

4. Not Financial or Legal Advice

Nothing on the Platform constitutes financial, investment, legal, tax, or business advice. The Platform's outputs — including probability scores, due diligence reports, investor matches, and strategic plans — are AI-generated informational tools only. You should always consult a licensed financial advisor, attorney, or other qualified professional before making any business or investment decisions.

5. User Responsibilities

You agree to: (a) provide accurate information when using the Platform; (b) use the Platform only for lawful purposes; (c) not attempt to reverse-engineer, scrape, or exploit the Platform; (d) not share your account credentials with third parties; (e) comply with all applicable local, state, federal, and international laws.

6. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, and software — are the exclusive property of SK Consulting USA LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your personal or internal business purposes.

7. Limitation of Liability

To the maximum extent permitted by applicable law, SK Consulting USA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform. Our total liability shall not exceed the amount you paid in the 30 days preceding the claim.

8. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.

9. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or the business interests of SK Consulting USA LLC.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Texas.
